These Terms of Service ("Terms") govern your use of the SmartQuant platform, software, APIs, websites and related services (collectively, the "Services") provided by SmartQuant Technologies, Inc. By accessing or using the Services you agree to be bound by these Terms. If you do not agree, do not use the Services.
SmartQuant provides algorithmic trading tools, backtesting, data feeds, execution connectors, analytics, and related services designed for quantitative trading ("Platform"). Specific features and pricing are described on our website and in any separate agreement you enter into with SmartQuant.
You are responsible for maintaining the confidentiality of account credentials and for all activity under your account. You agree to provide accurate information and to update it as necessary. We may suspend or terminate accounts for violation of these Terms or for suspicious activity.
You will not use the Services for unlawful activity, to attack networks, to attempt unauthorized access, or to transmit malware. You must comply with all applicable laws, exchange rules, brokerage agreements and data provider terms.
We (and our licensors) retain all rights, title, and interest in the Services, software, documentation, trademarks, and logos. You are granted a limited, non-transferable license to use the Services as provided under these Terms and any applicable order form.
You remain the owner of any trading strategies, models, data or content you upload ("User Content"). You grant SmartQuant a non-exclusive, worldwide license to host, store, and display User Content as necessary to provide the Services. You are responsible for your User Content, including compliance with laws and third-party rights.
The Services may facilitate simulation and live trading, but SmartQuant does not give financial advice and is not responsible for trading losses. Trading involves substantial risk. You represent that you understand these risks and that you are authorized to place orders with any broker you connect to the Platform.
Fees for paid plans, data, and marketplace items are described on our site or in separate agreements. All fees are non-refundable unless expressly stated. We may suspend access for overdue payments.
We collect information necessary to provide the Services (account info, billing, usage logs, and limited trading data). We use this data to operate and improve the Platform, to bill you, and to comply with legal obligations. We do not sell personal data. For details, see our full Privacy Policy.
Each party will protect confidential information of the other party with reasonable care and use it only as needed to perform its obligations. Confidential information does not include information that is publicly known or independently developed.
The Services are provided "as is" and "as available" without warranties of any kind. SmartQuant disclaims implied warranties including merchantability and fitness for a particular purpose. We do not warrant uninterrupted or error-free operation.
To the maximum extent permitted by law, SmartQuant and its affiliates shall not be liable for indirect, incidental, special, consequential, or punitive damages, or lost profits. Our aggregate liability for direct damages will not exceed the amount of fees paid by you to SmartQuant in the 12 months preceding the claim.
You agree to indemnify and hold SmartQuant harmless from claims arising from your use of the Services or breach of these Terms, including any third-party claims related to trading losses, data misuse, or violation of law.
Either party may terminate for material breach if the breach remains uncured after 30 days' notice. Termination does not relieve you of payment obligations accrued prior to termination.
These Terms are governed by the laws of the State of Delaware, USA. Disputes will be resolved in the state or federal courts located in the State of Delaware, unless otherwise agreed in a signed written agreement.
We may modify these Terms. We will post the updated Terms and update the Effective Date. Continued use after changes constitutes acceptance.
